ESTELA Terms

These Terms govern your access to and use of ESTELA™, including getestela.com, the ESTELA web application, ESTELA mobile or tablet applications that Boinayel makes available, and related ESTELA services (together, the “Services”). ESTELA is operated by Boinayel, LLC (“Boinayel,” “we,” or “us”).
ESTELA is a private, collective Family Book for preserving memories, stories, people, relationships, photographs, recordings, documents, and family context. ESTELA is not a public social network. An account by itself does not provide access to a family's private content: access requires an accepted, active membership in the relevant Family Book and remains subject to its permissions.
The terms for the Boinayel.com corporate website are separate. These are the product terms for ESTELA. By creating or using an ESTELA account, accessing a Family Book, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and legal capacity
For the current pilot and initial ESTELA release, accounts are intended for people who are at least 18 years old, or who have reached the legal age of majority where they live, unless Boinayel expressly authorizes a different program with safeguards required by law.
A Family Book may contain information about minors. Anyone contributing information about another person, including a minor, must have appropriate authority, permission, consent, or another valid basis to do so within that private Family Book.
2. Accounts, invitations, and membership
You are responsible for providing reasonably accurate account information, protecting access to your email, password, device, and session, and notifying us if you suspect unauthorized use.
Account identity is not Family Book access. A pending, declined, expired, removed, or revoked invitation or membership does not open private content. Roles and permissions arise from an accepted, active Family Book membership, not merely from having an account.
Invitations are personal and must not be transferred to another person. Boinayel may limit pilot access, require reasonable account or membership verification, and close invitations that expire or are misused.
3. Private Family Books and family stewardship
Each Family Book is a separate private space. Content does not become public because an account is created, content is saved, or someone participates in ESTELA. Sharing within a family is a separate action and depends on content state, membership, permissions, and family review when applicable.
Family Stewards and other authorized roles may manage certain Family Book decisions through available features. That authority exists within Family Book membership. It does not give Boinayel, support personnel, or an outside account a backdoor to browse private family content.
4. Your content and the license needed to provide ESTELA
You retain whatever rights you have in content you contribute to ESTELA. You do not transfer ownership of your memories, photographs, recordings, documents, stories, or other family content to Boinayel merely by using the Services.
You grant us only a limited, non-exclusive, worldwide license, revocable to the extent consistent with operation of the service, to host, store, copy, process, technically transform, transmit, and display your content as necessary to provide, protect, maintain, and recover ESTELA consistently with your visibility choices, these Terms, and the Privacy Policy. This license does not authorize us to publish your Family Book, sell its content, or use it for third-party advertising.
You represent that you have the rights, permissions, or authority reasonably necessary to contribute the content and permit that limited use. Do not upload material that violates another person's intellectual-property, privacy, publicity, confidentiality, or other rights.
5. Prohibited content and conduct
- Illegal, fraudulent, threatening, harassing, abusive content or conduct, or targeted promotion of violence against a person.
- Child sexual exploitation, sexual material involving minors, non-consensual intimate imagery, sexual extortion, or material whose possession or distribution is unlawful.
- Disclosing another person's sensitive personal information without appropriate authority, impersonation, stalking, harassment, or attempts to expose Family Book content outside authorized access.
- Infringing copyright, trademark, privacy, publicity, confidentiality, or other third-party rights.
- Introducing malware, bypassing access controls, unauthorized security testing, unauthorized automated extraction, attempting to access another account or family, interfering with the service, or using ESTELA for fraud or abuse.
- Using another family's or account's content beyond the purpose and permissions that authorized access.
6. Safety, reports, and moderation
If you encounter content or conduct you believe violates these Terms, use available Help options or contact support@getestela.com. Describe the problem without sending private family content that is not necessary to understand the report.
Boinayel may investigate a report using only information reasonably necessary to resolve it, request additional information from the reporter or authorized people, and take proportionate action such as restricting a feature, removing content, suspending an account, or preserving evidence when reasonably necessary for safety, legal compliance, or protection of rights. A report does not create general support access to a Family Book.
Internal Family Book membership decisions remain subject to the Family Book's authority and controls. Boinayel may act independently when necessary to comply with law, protect safety, or enforce these Terms.
7. Privacy, data, and security
The ESTELA Privacy Policy explains the information we may collect, how we use it, our providers, retention, deletion, and privacy choices. That policy is part of the framework governing use of ESTELA.
No system can guarantee absolute security or preservation. ESTELA uses authentication, membership, authorization, and private-storage controls designed to reduce unauthorized access. Keep independent copies of unique originals that you cannot replace.
8. Devices, permissions, and app stores
Certain features may request permission to access photographs, files, camera, microphone, or other capabilities on your device. You decide whether to grant those permissions and may change them through device settings. A device permission does not make Family Book content public.
If you obtain ESTELA through the Apple App Store, Google Play, or another marketplace, the marketplace's applicable terms, usage rules, and conditions also apply. Boinayel, not the marketplace operator, is responsible for operating and supporting the ESTELA service except where law or mandatory marketplace terms provide otherwise.
9. Pilot, prerelease features, and service changes
ESTELA may initially be offered as a private pilot, prerelease service, or limited-availability product. Some features may change, remain disabled, require additional approval, or be unavailable to some accounts.
We may reasonably modify, improve, suspend, or retire features. When a material change affects rights, data, privacy, or a contractual obligation, we will provide any notice or additional consent required by law and applicable platform requirements.
10. Pricing, purchases, and future subscriptions
These Terms do not by themselves create a paid subscription. If Boinayel later offers a paid feature, plan, or subscription, we will disclose the price, period, renewal, cancellation, and other applicable terms before purchase. Where an app marketplace requires its billing system for a digital purchase, we will use the required mechanism or an available permitted exception.
11. ESTELA software and intellectual property
ESTELA, its software, design, documentation, marks, logos, and Boinayel-owned materials are protected by applicable law. Subject to these Terms, Boinayel grants you a personal, limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose.
You may not copy, sell, sublicense, decompile, or exploit proprietary software or elements except to the extent expressly permitted by law. Nothing in this section limits your rights in your own family content.
12. Rights and intellectual-property complaints
If you believe in good faith that material available through ESTELA infringes your copyright or other intellectual-property rights, contact support@getestela.com and identify the material, the right you claim, your contact information, and the basis for your request. We may request reasonable additional information before acting.
13. Leaving ESTELA, suspension, and termination
You may stop using ESTELA and, where available, request deletion of your account. Account deletion is subject to continuity safeguards for a collective Family Book: for example, a final active Family Steward must leave another active Steward before the account can close if the Family Book is to survive.
Removal from a Family Book does not necessarily delete the account. Boinayel may suspend or terminate access for a material violation of these Terms, security risk, fraud, abuse, valid legal order, or reasonable need to protect people or the service. When appropriate, we will try to provide notice and a reasonable opportunity to correct the problem.
14. Availability and no guarantee of perfect archival preservation
ESTELA is designed to preserve family memory and context, but it is not a legal archive, an official genealogy record, or a guarantee of perpetual preservation. The Services are provided “as is” and “as available” to the extent permitted by law.
To the fullest extent permitted, Boinayel disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes rights or warranties that applicable law does not allow us to exclude.
15. Limitation of liability
To the fullest extent permitted by law, Boinayel will not be liable for indirect, incidental, special, consequential, or exemplary damages or lost profits arising from use of or inability to use ESTELA where such a limitation is legally valid.
To the fullest extent permitted, Boinayel's aggregate liability relating to the Services will not exceed what you paid Boinayel for ESTELA during the twelve months before the event giving rise to the claim or, if you paid nothing for ESTELA during that period, one hundred U.S. dollars (US$100). This limitation does not apply where applicable law does not permit the relevant liability to be limited.
16. Responsibility for your use
To the extent permitted by law, you agree to defend, indemnify, and hold Boinayel harmless from third-party claims arising directly from content you contributed without necessary rights, your unlawful use of the Services, or your material violation of these Terms. This obligation does not cover claims caused by Boinayel's own wrongful conduct.
17. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable U.S. federal law, without applying conflict-of-law principles. A judicial dispute that is not required by mandatory law to proceed elsewhere may be brought in a state or federal court of competent jurisdiction in Pennsylvania.
These Terms do not contain mandatory arbitration or a class-action waiver. Consumer-protection laws where you live may provide additional rights that these Terms do not remove.
18. Changes, language, entire agreement, and contact
We may update these Terms when ESTELA, the law, or applicable requirements change. We will publish the current version and effective date. If a material change requires notice or additional acceptance, we will request it before the change becomes binding to the extent required.
The Spanish and English versions are provided so the agreement is accessible in both languages and are intended to express the same meaning. If we identify a material inconsistency, we will correct it rather than silently using a translation to reduce rights or obligations.
If a provision cannot be enforced, the remaining provisions continue to the extent permitted. Our failure to exercise a right is not a waiver. These Terms, together with the Privacy Policy and any feature- or purchase-specific terms presented before use or purchase, form the applicable agreement governing use of ESTELA.
